摘要
中华人民共和国《公司法》在立法上第一次明确提出了“一人有限责任公司”的概念,并为其规定了相应的规范,这是我国公司立法上的重大创新。公司法丰富了形式一人公司的类型,在一人有限责任公司设立条件和监督机制的设置上,为债权人权益的实现提供了充分的保障。其组织机构设置的灵活性使一人公司立法的效用得到了最大限度的发挥。我国一人公司立法上的创新为这一公司类型赋予了旺盛的生命力。
The concept of one person limited liability company has been put forward definitely for the first time in the company law, which is an important innovation in China. The company law enriched the type of one person company providing the full guarantee for the realization of the creditor rights in establishing condition and the supervise system of the limited liability company. The flexibility of organization makes the one person company bring its efficiency to the full extent.
