摘要
通过对我国公司治理进程中引入独立董事制度近五年来的境况分析,简要谈谈对当前我国公司治理中监督体系构建的思考,并针对监事会与独立董事这两种制度的运行模式提出了“并轨过渡、取向独董”的个人观点。
Through analyzing five - year conditions after the introduction of the independent trustee system in company administration in China, this article generally discusses the consideration on the construction of the supervision system in current in company administration in China. Furthermore, it puts forward a personal opinion ＂integrate under transition , lean to the independent trustee system＂through aiming at the operation mechanisms on the two kinds of systems between the board of supervisors and independent trustee.
