摘要
新《公司法》规定了一人有限责任公司,从而在立法上肯定了一人公司的存在。对一人公司进行规定是符合我国经济发展和世界立法潮流的。一人公司制度具有很多优越性,但也存在着一些不足之处,因此,有必要通过法律规范对其进行规制。文章拟从公司法人格否认的角度,借鉴国外对一人公司规制的相关理论,对我国完善一人公司的设立制度提出了一些构想。
New Company Law provide one -man limited obligation company, since it establishes one -man company by legislation. One -man company has many advantages while some disadvantages. So it is necessary to control it. On studying the foreign theory about one -man company, this article ties to resolve the problem and put forward some advance on our country to offer some reference and inspiration.
