摘要
近年来,在跨国收购领域,国际收购基金身影频现。通过分析国际收购基金的概念,与传统产业资本并购的对比,以及并购国有企业的利弊所涉及的法律问题,可以发现中国国企无论是“引进来”还是“走出去”,国际收购基金都提供了资金和技术支持。要防范其消极作用,关键是健全法律机制。
Recent years, international buyout fund frequently appeared in the multinational purchase. By analyzing the concepts of international buyout fund, comparing with capital merger in traditional industry, and analyzing the legal problems related to the merger of state-owned corporations, it is found that international buyout fund provided funding and technique supports to the Chinese state-owned corporations for them to ＂bring in＂ and ＂go out＂. To prevent its negative effects, the key point is to improve the legal mechanism.
