摘要
本文对管理层收购(MBO)涉及的若干理论和现实问题进行了分析。从法学和经济学理论的角度对管理层收购概念本身进行了新的诠释,并通过对比中国与英、美等国管理层收购的不同之处指出中国的管理层收购不能盲目照搬,最后对管理层收购带来的中小股东利益的保护问题进行了分析且提出了相关的政策建议。
This paper talks about several issues of MBO（management buy- out） in China both theoretically and practically. It gives new explainations to the conception of MBO according to legal and economic theories to show MBO＇s feasibility. By comparing MBO at home and abroad the auther warns that MBO must be treated very prudently in China. At last, it is pointed out that the protection of small shareholders is extraordinarily important in Chinese firms＇ MBO at present and must be paid much attention to.
