摘要
分类表决机制在股权分置改革试点阶段发挥了巨大的作用。分类表决机制赋予流通股股东更多自我保护的权益,建立起非流通股股东与流通股股东的对话机制,形成投资者对公司经营层的有效制约,提高上市公司的治理水平,弥补股权分置导致的股市的体制性缺陷,为股权分置改革提供了制度准备,对我国正在进行的股权分置改革起到有力的推动作用。
Classified voting system plays a great role at the primary stage of stock right spitting reform. It provides the stockholders in circulation with more self-protecting right. We should establish a conversation system between stockholders in circulation and stockholders in non-circulation, help the investors effectively impose restraint to the management of the companies so as to improve the managing level of the quoted companies and make up the systematic shortcoming of the stock market caused by spitting the stock right. Thus, we can provide a system for the stock right spitting reform and greatly promote the stock right spitting reform being progressed in our country.
