摘要
企业高层经营者继任的核心是权威传递,但是由于交易方式和契约性质的差异,不同类型企业组织权威传递的难易程度差异很大。从契约(合约)理论出发,不同交易方式形成了不同性质的契约,不同性质的契约又决定了不同种类权威传递的难易程度。通过比较公众公司、国有企业、家族企业三类企业组织权威体系的构成,不同种类权威在传递过程中有一系列的差异,这些差异也可以解释我国家族企业继任(代际传递)中管理权威散失的原因。
The core of succession planning in enterprises is the handover of authoritative power. However, due to the differences in transactional patterns and contractual nature, the succession of power in different kinds of enterprises may have different levels of difficulty. Based on a comparative study of the formation of the authoritative power in public corporations, state-owned enterprises and family enterprises, we can find out the differences, which can be used to explain the loss of authoritative power in the succession process in Chinese family enterprises.
