摘要
中小股东权益保护是完善上市公司治理结构,促进我国证券市场健康发展的必然要求。我国《公司法》立法之初就明确规 定了其立法宗旨之一是保护股东的合法权益,但是由于我国公司制度建立时间不长,很多问题还处于探索阶段,对于小股东的保护 更是存在较大的空白,上市公司小股东权益保护问题,成为所有公司形式小股东保护问题中迫切性最强,涉及面最广的一个问题。就 借鉴其他国家相关立法,以强化对中小股东的权益保护,优化上市公司股东权利法律结构及法人治理结构。
Protection of the minor shareholders＇ rights is a necessity for the perfection of the listed companies＇ corporate governance, and the development of China＇ securities market. The paper analyses the necessity of the protection of the minor shareholders＇ rights, and brings out the suggestions of the perfection and development of the Chinese company law.
