摘要
近年的国际投资协定中规定的投资者与东道国间投资争端解决机制,从实质看,是将此类争端解决进一步推向国际化。这种争端解决机制的国际化发展有助于强化投资者的保护,创造有利于吸引外资的投资气候,但它同时也是一把双刃剑,对于东道国关于外资的管理、社会和环境的管理、公共资源的利用都可能产生挑战并带来深远的影响。因此,我国在设计与利用国际仲裁机制时,应注意在国家主权的行使与投资者权利保护二者间达到平衡;应积极推动此类投资争端解决机制的改革和完善,妥善解决各种实体与程序问题,维护投资东道国政府为维护公共利益进行管理的权利。同时,还应尽可能地健全和完善能为外国投资者所信任的当地争端解决制度,尽可能地促使投资争端在当地解决。
The investor- state investment dispute settlement mechanism in recent BITs and FFAs tends to further internationalize the settlement of this kind of dispute. This mechanism is undoubtedly helpful to strengthen the protection of investor, create a favorable climate to attract foreign investment. However, the mechanism is also a dual - edge - sword, which may challenge and profoundly affect the host state' s regulation of foreign investment, society, environment and the utilization of the public resources. Thus when designing and utilizing the international arbitration mechanism, China should make a balance between the exercise of state' s sovereignty and the protection of the rights of foreign investors. It should be active to promote the reform and the improvement of investment dispute settlement mechanism, skillfully handle various substantive and procedure issues and maintain the right to regulate for public interests. Meanwhile, China should make efforts to improve and perfect the local dispute settlement mechanism so as to promote the local settlement of the investment dispute as much as possible.
