摘要
金融控股公司的组建已成为世界金融业不可阻挡的发展趋势。目前,我国金融控股公司治理结构存在的问题主要有:产权过于集中,制衡机制不健全,业绩评估、激励机制不健全,信息披露制度不完善等。为此,应引入多元化的投资主体,完善企业经营者的监督制度,进一步强化风险监控制度和信息披露制度,完善内部控制,以有效地完善我国金融控股公司的治理结构。
Organizing financial holding companies has become an inevitable development tendency in world financial industry. At present, main problems exist in China＇ s financial holding companies＇ governance structure are： overcentralized equity, incomplete balancing mechanism, incomplete performance assessment and incentive mechanism, imperfect information disclosure system, etc. Therefore, diversified investment main bodies should be introduced, consummating supervisory system for managers of enterprises, further strengthening risk supervision and control system and information disclosure system, perfecting internal control so as to make China＇ s financial holding companies＇ governance structure better.
