摘要
公司资本制度是公司法的核心内容之一,对其作出恰当选择将对一国经济发展产生直接影响。我国现有公司资本制度不能适应经济扩张发展的需要,与国外立法相比较为保守。我国《公司法》的修订应当采用折衷授权资本制,使更多的经济体能够积极有效地参与到全球化经济竞争之中。
The corporate capital system is one of the cores of Corporation Law. It will influence the economic development of a country directly if an appropriate system is chosen. Comparing with related legislations of foreign countries, the current corporate capital system in China is not fit for the expanded development of economy and seems to be conservative. Our new Corporation Law should adopt the eclectic authorized capital system in order to let more and more economies participate in the competition willingly and efficiently in the trend of globalization.
