摘要
企业控制权的利益侵占问题是企业控制理论中的重要课题,本文从企业的控制性股东及其所拥有的所有权与控制权之间关系的角度出发,建立了企业控制链与不对称股权结构模型,深入研究了企业控制性股东的利益侵占行为及其相关的影响因素,并得出了相应结论。
Benefit expropriation is an important problem in corporate control theory. In this paper we establish the model of corporate control chain and asymmetrical shareholder structure through studying the dominating shareholder and the relationship between its ownership and corporate control. We then investigate the benefit expropriation behavior of dominating shareholder and its related influential factors, and draw our conclusions.
