摘要
国有企业的改革进入攻坚阶段,但是国有资本运营的传统模式(委托代理制、股份制)遭遇制度本身难以解决的问题,导致国有资本运营效率低下,以及产生一系列弊端,因此应该跳出传统的窠臼探索新思路。本文提出国有资本的股权信托运营,并分析了制度的设计以及相关主体的权、责、利,以期克服国有资本运营中产生的弊端和实现国有资本的保值增值,逐步完善我国的资本市场,促成国有资本的良性运营。
The reform of state-owned enterprise is in the key period,but the traditional modes of management face difficuties which cannot be solved by stat-owned enterprises themselves,and lead to low efficiency and other shortcomings.So we should explore new ways.This article tries to bring forward state-owned capital shares trust management,analyse the system designment and its right,duty and interest. By so,the author hopes to perfect our capital market and promotes benignly state-owned capital.
