摘要
随着近年来具有民营背景的家族上市公司不断出现,其家族股东“一股独大”的股权结构引起了政府、投资者和理论界的重视。公司股权结构总是基于一定股东利益的获得与分配的。因此,本文将家族上市公司的家族大股东作为利益主体,试图从对家族股东的利益影响角度来分析家族上市公司“一股独大”的股权结构产生的根源。文章还就家族上市公司利益分配的合理化以及“一股独大”股权结构的调整和完善提出了对策和建议。
As the family listed company with private background is constantly increasing in number,the company’s stock right structure characterized by “domination of a single shareholder” has drawn the attention of government, investors and theoretical circle. The stock right structure of a company is always based on acquisition and distribution of certain shareholder’s interests. So, this paper regards the big shareholder of the family listed company as the interest subject, and attempts to study the source of “domination of a single shareholder” from the angle that “domination of a single shareholder” influences the interests of the big shareholder.On this basis,the paper has offered suggestions on the rationalization of interest distribution and perfection of the stock right structure in the family listed company.
