摘要
现代公司企业是社会生产力发展的结果 ,也是按现代企业制度对原有企业改制的产物。由于现代公司企业的所有权与经营管理权的分离 ,就必然有委托代理问题的伴随。在委托代理的实际运作过程中 ,会出现诸如委托代理成本、效率及危害出资者利益等问题。完善委托代理制度 ,需要在企业规范的公司制改革、委托与代理方职能和权责的法律规定。
Modern enterprises, produced from the development of productivity, are the outcomes of transforming old enterprise system into modern enterprise system. Since property rights are seperated from operating rights in modern enterprise, the question of trust and agency has arisen. In the process of trust and agency operation,some problems arise, such as the cost and efficiency of trust and agency and the perniciousness to the investor's profit. To perfect the trust agency system, there is an urgent need to implement enterpise reform, make legislation to intensify duties, functions and rights for truster and agent, resort to incentive mechanism efficiently and establish manager market.
