摘要
随着现代企业制度的建立,机构投资者作为股东,其与管理者有不同的利益需求和表现形式,存在利益冲突。对西方机构投资者股东与管理层利益冲突产生的主要原因进行分析,对机构投资者遏制管理层不当获利、降低代理成本的策略进行探讨,结合中国情况从中可得到有益启示。
With the setting-up of the modern enterprise system, institutional investors, as the shareholder, they have different interest demands and forms of expression different with the managers, then the interest conflicts exist. We can draw some benefical enlightenments through analyzing the main reasons that western institutional investors and managers exist conflicts,discussing some tactics to prevent from managers' important profit and to reduce cost.
