Internet companies usually have to rely on financing to grow, which puts their founders at risk of losing control. In this situation, the dual ownership structure arises at the historic moment and becomes a powerful weapon for the founders to control. In order to maintain the right of control, most enterprises have chosen the typical structure of the dual ownership system-AB share system, and Alibaba Group has established an upgraded version of the dual ownership structure-partner system in view of its own development characteristics. This paper uses the method of case study, taking Alibaba Group as an example, from the perspective of control rights protection to study the Alibaba partnership system in depth. On the basis of combing and analyzing the protection mechanism of Alibaba's control rights, this paper further compares the AB share system with the partner system, sums up the advantages and limitations of the partner system, and puts forward some relevant solutions. This paper will provide some reference for the research on the dual ownership structure of Chinese Internet companies. 展开更多

To clear underlying reasons for increasingly worsening water environment, the external effects of pollution behavior and fictitious property right of pollution control bodies were analyzed using property right theory, and then internal reasons for serious water pollution were discussed. In the past,arms used in the fields of industry and robotics have been designed not to vibrate by increasing their mass and stiffness.The weight of arms has tended to be reduced to improve speed of operation,and decrease the cost of their production.Since the weight saving makes the arms lose their stiffness and therefore vibrate more easily,the vibration suppression control is needed for realizing the above purpose.Incidentally,the use of various smart materials in actuators has grown.In particular,a shape memory alloy(SMA)is applied widely and has several advantages:light weight,large displacement by temperature change,and large force to mass ratio.However,the SMA actuators possess hysteresis nonlinearity between their own temperature and displacement obtained by the temperature.The hysteretic behavior of the SMA actuators affects their control performance.In previous research,an operator-based control system including a hysteresis compensator has been proposed.The vibration of a flexible arm is dealt with as the controlled object;one end of the arm is clamped and the other end is free.The effectiveness of the hysteresis compensator has been confirmed by simulations and experiments.Nevertheless,the feedback signal of the previous designed system has increased exponentially.It is difficult to use the system in the long-term because of the phenomenon.Additionally,the SMA actuator generates and radiates heat because electric current passing through the SMA actuator provides heat,and strain on the SMA actuator is generated.With long-time use of the SMA actuator,the environmental temperature around the SMA actuator varies through radiation of the heat.There exists a risk that the ambient temperature change dealt with as disturbance affects the temperature and strain of the SMA actuator.In this research,a design method of the operator-based control system is proposed considering the long-term use of the system.In the method,the hysteresis characteristics of the SMA actuator and the temperature change around the actuator are considered.The effectiveness of the proposed method is verified by simulations and experiments. 展开更多

Modem enterprise theory defines onterprise's ownership through the concepts of residual rights of control and claim to residue. It also believes that when they are in homologous, the ownership of enterprise can be arranged in the best place. When the enterprise is under normal run, shareholders are its owner, but when it goes into bankruptcy, claimers should take place of shareholders becoming the owner of the enterprise. But in China, the ownership of state-owned enterprise (SEE) goes into double misplaces. Management controls the enterprise under the normal run, which leads salaries to seize the earnings and share equities. The state who acts as the shareholder not only lessens investments but also fixes its earnings as much as possible. It gives up the claim to residue, which leads claimers to bear the enterprise's residual risks (when the residual income is negative). When the enterprise goes into bankruptcy, as the shareholder, the state determines whether it can exist or not in order to maximize its own utility. Rights of claimer are being seriously damaged as they can be manipulated freely in the enterprise. Banks' bad debts are also in an extremely high level. In this article, the author will establish a model and use the relative data to do technical analysis. 展开更多

In this paper, operator based robust nonlinear control for single-input single-output(SISO) and multi-input multi-output(MIMO) nonlinear uncertain systems preceded by generalized Prandtl-Ishlinskii(PI) hysteresis is considered respectively. In detail, by using operator based robust right coprime factorization approach, the control system design structures including feedforward and feedback controllers for both SISO and MIMO nonlinear uncertain systems are given, respectively.In which, the controller design includes the information of PI hysteresis and its inverse, and some sufficient conditions for the controllers in both SISO and MIMO systems should be satisfied are also derived respectively. Based on the proposed conditions, influence from hysteresis is rejected, the systems are robustly stable and output tracking performance can be realized.Finally, the effectiveness of the proposed method is confirmed by numerical simulations. 展开更多

家族企业是家族系统与企业系统组合而成的特有组织,亲缘关系和股东关系差异使得家族渉入具有不同的控制权配置情况,从而对家族企业战略和行为产生影响,尤其对引导企业高质量发展具有重要作用。本研究基于家族企业内部关系区分,解析家族... 家族企业是家族系统与企业系统组合而成的特有组织,亲缘关系和股东关系差异使得家族渉入具有不同的控制权配置情况,从而对家族企业战略和行为产生影响,尤其对引导企业高质量发展具有重要作用。本研究基于家族企业内部关系区分,解析家族企业双层控制权配置对企业高质量发展的影响,以深化公司治理理论和代理理论在家族企业内的延伸与应用。本研究采用2010—2018年上市家族企业样本,实证结果表明,家族内部控制权分散或高度集中配置较为有利,而企业层面控制权配置则需适度引入非家族相关股东,双层控制权配置在企业高质量发展上具有一定的互补效应。双层控制权配置对家族企业高质量发展具有不同的作用路径,稳定的外部环境、较低的融资约束以及直接创办家族企业会强化这一效应。本研究的发现对于解析家族关系影响,以及理解家族企业双层治理结构提供新的思考。 展开更多

投服中心作为“监管型”小股东,通过行权维护中小投资者合法权益。以2016—2021年A股上市公司为研究样本,手工搜集投服中心行权相关数据,采用OLS多元线性回归模型考察投服中心行权对公司内部控制质量的影响及作用机制。研究结果表明,投... 投服中心作为“监管型”小股东,通过行权维护中小投资者合法权益。以2016—2021年A股上市公司为研究样本,手工搜集投服中心行权相关数据,采用OLS多元线性回归模型考察投服中心行权对公司内部控制质量的影响及作用机制。研究结果表明,投服中心行权能够提升公司内部控制质量。机制分析发现,投服中心行权通过信息效应和治理效应两条路径提升内部控制质量。进一步分析发现,维权诉讼、网上行权和发送股东建议函三种行权方式会显著提升被行权公司的内部控制质量,行权内容涉及控制环境问询和信息与沟通问询能够显著提升被行权公司的内部控制质量;行权效果在信息透明度较差、压力抵制型机构投资者持股比例低的公司中更为显著。研究结论对进一步优化投服中心行权效果具有重要的现实意义。 展开更多

不同维度的控制权在各层级政府的分配组合,形成了我国多层级治理模式。研究基于对DM市2018年至2020年期间空气污染治理的田野调查发现,数字技术在空气污染治理中的广泛应用减少了各层级之间的信息不对称,降低了上级对下级的监管难度,压... 不同维度的控制权在各层级政府的分配组合,形成了我国多层级治理模式。研究基于对DM市2018年至2020年期间空气污染治理的田野调查发现,数字技术在空气污染治理中的广泛应用减少了各层级之间的信息不对称,降低了上级对下级的监管难度,压缩了上下级之间的谈判空间,使控制权在三个维度上集中上移。以往,这种高度关联型的治理模式通常伴随着高度动员的运动型治理机制。然而,数字技术的介入推动运动型治理机制走向“常规化”,使高度关联型治理模式的长期维持成为可能。由此,空气污染的治理模式由传统的行政发包制、松散关联型演变为高度关联型,从而在一定程度上降低了基层治理的灵活性。论文通过观察数字技术引入空气污染治理机制的过程,揭示了多层级治理模式由此产生的调适和变迁。 展开更多

宅基地退出治理问题是乡村振兴背景下政府治理面临的关键挑战,宅基地退出治理机制研究对优化国土空间布局与促进城乡融合发展有重要意义。本文从控制权视角对宅基地退出治理的多个案例进行经验研究,建构宅基地退出治理机制的分析框架。... 宅基地退出治理问题是乡村振兴背景下政府治理面临的关键挑战,宅基地退出治理机制研究对优化国土空间布局与促进城乡融合发展有重要意义。本文从控制权视角对宅基地退出治理的多个案例进行经验研究,建构宅基地退出治理机制的分析框架。研究发现,在宅基地退出治理中,依据控制权归属不同,存在组织退出与交易退出两种标准治理模式;宅基地退出治理模式的选择或者宅基地组织退出与交易退出的边界,是由政策的公平或效率价值导向而非交易成本决定的;政策环境不仅影响宅基地退出治理模式的控制权配置,也影响退出治理的绩效;公平导向的组织退出治理模式与效率导向的交易退出治理模式之间具有不可通约性,公平导向的组织退出治理模式或效率导向的交易退出治理模式内部具有可通约性。为促进农户退出宅基地,应当以价值导向为依据选择退出治理模式,在交易退出中统一建设用地指标市场,在组织退出中适当调整土地发展收益分配比例。 展开更多

双重股权结构作为“同股同利,同股不同票”的所有权权益结构不对等的主动安排,是激励了超额控制权人的能力发挥还是加剧了委托代理倾向存在争议。文章基于第二类委托代理问题的基础视角,以企业创新为着眼点,从双重股权结构剩余索取权与... 双重股权结构作为“同股同利,同股不同票”的所有权权益结构不对等的主动安排,是激励了超额控制权人的能力发挥还是加剧了委托代理倾向存在争议。文章基于第二类委托代理问题的基础视角,以企业创新为着眼点,从双重股权结构剩余索取权与控制权的不对等偏离对超额控制权人产生的激励效应及其适度性问题进行了探讨。结果发现:尽管整体上看,双重股权结构有利于促进企业创新,但存在激励适度性问题而导致的企业家超额控制权对企业创新的倒U型影响,即适度的超额控制权给企业家提供了适度的激励而有利于促进企业创新,过度的超额控制权则加剧了企业家的委托代理倾向而抑制企业创新。因而企业家的人力资本投入和企业经营表现与企业家超额控制权呈现出倒U型关系,从而对企业创新产生倒U型影响。并且这一倒U型影响在非高科技行业企业、低成长企业、低盈利企业中更加突出。 展开更多

土地发展权是我国空间治理体系的重要理论工具,贯穿国土空间规划的编制、实施和管理的全过程。随着国家治理体系和治理能力现代化进入新的历史阶段,围绕土地发展权的空间治理研究引发了学界的广泛关注。为深入探讨土地发展权与空间政策... 土地发展权是我国空间治理体系的重要理论工具,贯穿国土空间规划的编制、实施和管理的全过程。随着国家治理体系和治理能力现代化进入新的历史阶段,围绕土地发展权的空间治理研究引发了学界的广泛关注。为深入探讨土地发展权与空间政策间的相互作用关系,并明晰其研究演进特征,通过信息可视化工具CiteSpace,对1994—2023年间土地发展权研究文献进行梳理,分析土地发展权研究在不同空间政策背景下的动态变化趋势。结合可视化图谱与传统的文献计量学方法,概述了中国土地发展权研究的三个主要阶段:以土地为中心的城镇化阶段;“多规合一”的空间用途管制阶段;以及强调生态治理,土地发展权逐步向中央政府收束的阶段。通过梳理既有的研究成果,总结了中国土地发展权研究的演进特征,并对国土空间规划体系下土地发展权未来的研究热点进行展望。 展开更多

Nowadays power electronics research has added the importance of power quality studies, for concrete illustration, Custom Power Devices (CPD) and Flexible AC Transmission position (FACTS) devices. The approach offered in this paper utilizes the series and shunt compensator of Unified Power Quality Conditioner (UPQC) to inject a compensation voltage in-phase with the source current over voltage fluctuations. The execution of two structures of UPQC, left-shunt (L-UPQC) and right-shunt (R-UPQC) are investigated under diverse operating conditions based on the fuzzy logic controller to raise the value of power quality of a single feeder distribution system by MATLAB/Simulink programming. Various power quality issues have been analyzed in this study. Finally, the right shunt UPQC is outperformed in this proposed power system. 展开更多
