The core function of the right of first refusal system is to counteract the"hold-up"behavior of the transferor.The appreciation of transaction value and the potential for malicious collusion serve as incentives for such behavior,while the introduction of a third-party offer is a key structural element of the mechanism.Enhancing transaction value represents an intermediate objective;preventing malicious collusion functions as a safeguard against systemic failure;and price transparency constitutes an implicit precondition for the mechanism's effectiveness.Together,these elements form a coherent theoretical framework for interpreting the right of first refusal system.As legal interpretative methods evolve,functional interpretation emerges as a particularly promising approach.
